I am the senior corporate and financial transactions attorney at Fairfield and Woods, an 87 year old Rocky Mountain focused law firm. Our business clients are large and small, startups and Fortune 500, based in Denver or headquartered in North or South American, Europe, or EurAsia, but all with operations in the Rocky Mountains. In addition to providing advice directly to firm clients, I also have responsibilities to give support to the other lawyers in our firm. In that regard, this August 2021 our corporate department is doing traditional corporate finance structurings and M&A and venture pool offerings and investments, meaningful regulatory updates for compliance efforts of our regulated clients (reacting to the 2020 outpouring of new and amended rules from the Securities and Exchange Commission), and significant support to the high volume of real estate transactions and financings being done by the firm. I am responsible for understanding the application of regulator and common law changes to the regulated and unregulated businesses of our client base (which is quite diverse but includes broker dealers, investment advisors, family offices and VCs). I enjoy being a good issue spotter and candid advisor to clients and the firm and structuring effective, comprehensive, and reliable solutions to problems facing decision makers in all kinds of situations.
My strength could be the provision of experienced advice for investing by entities and individuals, strategic and tactical aspects of corporate operations; lead position in negotiations and drafting for transactions involving corporate, securities, intellectual property licensing, mergers and acquisitions, finance, and some tax, together with securities regulatory and general commercial business representation.
I am starting to cut back on my board service to for profit and non profit corporations' boards of directors. I recently resigned from the boards of Water for People (an NGO with headquarters in Denver and WASH operations in 9 countries). and of the Paltown Development Foundation (a patient-centered support group with headquarters in Maryland sponsoring confidential interactive websites for those with particularly difficult disease states, e.g. "Colontown" for colon cancer patients and caregivers).
