Nazara Tech Expands Globally with AI Gaming Acquisition

Nazara Technologies, through its UK subsidiary, is acquiring a 50% stake in Bluetile Games and BestPlay Systems for about $100 million (around Rs 9.18 billion). It also has the option to buy the remaining 50% by 2028 at a pre-decided valuation.

In addition to the upfront payment, Nazara may pay up to another $98 million in the future, but this depends on how well the companies perform over the next few years in terms of revenue and profits. A key point is that much of this future payment is expected to be funded from the earnings of these companies themselves, and Nazara can also choose to partly pay using its own shares instead of cash.

Strategically, this deal helps Nazara strengthen its global gaming business. Bluetile adds AI-driven game development capabilities, while BestPlay brings user engagement and distribution strengths. Combined with Nazara's existing network, this is expected to help create and scale new gaming titles more efficiently.

In simple terms, Nazara is expanding globally through a structured deal where a significant part of the cost is linked to future performance, reducing risk while positioning the company for growth.
