Amazon (AMZN) founder Jeff Bezos plans to sell about $4.1 billion worth of AMZN shares after the company’s stock reached a record high following stronger-than-expected quarterly earnings. The planned sale became public on the same day New Jersey filed a lawsuit accusing Amazon of using its market power to impose low pay and poor working conditions on delivery drivers in its Delivery Service Partner program.

Amazon shares traded lower after the filing became public. The stock changed hands around $278.69 during Tuesday’s session after touching a record high one day earlier. Investors also weighed the legal action filed by New Jersey while the company continued to benefit from strong demand for its cloud computing and artificial intelligence businesses.

Bezos Plans Multi-Billion Dollar Amazon Share Sale

Jeff Bezos filed a Form 144 with the U.S. Securities and Exchange Commission showing plans to sell 15 million Amazon shares with an estimated market value of about $4.1 billion. The shares are being sold under a Rule 10b5-1 trading plan adopted in November 2025, with Morgan Stanley handling the transactions.

The filing stated that the shares were part of Bezos’ founder stock dating back to 1994. Bezos has regularly sold Amazon shares through prearranged trading plans while remaining one of the company’s largest shareholders. The filing also disclosed that he donated more than 220,000 Amazon shares to nonprofit organizations in May.

The planned sale follows Amazon’s latest earnings report, which lifted the company’s market value above $3 trillion. Strong growth in Amazon Web Services helped drive the results as demand for artificial intelligence infrastructure continued to expand. Amazon shares have gained about 20% this year, outperforming the broader S&P 500 index.

Bezos also recently discussed Amazon’s custom chip business, describing it as a future growth pillar alongside AWS, Prime, and Marketplace. He said, ““Our chips business, our silicon business, is lining up to be our next pillar.”” Amazon disclosed earlier this year that its data center chip business reached an annual revenue run rate exceeding $20 billion.

New Jersey Files Lawsuit Against Amazon

New Jersey filed a federal lawsuit accusing Amazon of using its market position to control working conditions for delivery businesses operating under its Delivery Service Partner program. The program allows independent companies to deliver Amazon packages while managing their own workforce.

State officials alleged that Amazon keeps driver pay low and maintains working conditions that favor the company over independent operators. The lawsuit also claims Amazon discourages union activity and prevents Delivery Service Partners from recruiting drivers employed by competing partners.

The complaint argues that these practices violate antitrust law by limiting competition among businesses participating in the delivery network. The lawsuit was filed in federal court in Newark and adds to the growing number of legal challenges facing Amazon’s business operations.

AMZN had not issued a detailed public response after the lawsuit became public. The company has previously denied similar antitrust allegations brought by regulators in other cases.

Investors Watch Amazon’s Next Steps

Amazon stock moved lower after the disclosure of Bezos’ planned sale. Shares traded between roughly $276.70 and $280.70 during the morning session before recovering part of the decline later in the day. Market participants often monitor insider sales, although transactions completed under Rule 10b5-1 plans are arranged in advance.

Despite the share sale, AMZN continues to benefit from strong investor interest following its latest earnings report. Cloud computing remains one of the company’s fastest-growing businesses, while investments in artificial intelligence and custom chips continue to attract attention.
