Insider Trading Report Edition #227: Notable Buys And Sales

Welcome to edition 227 of Insider Weekends. Insider buying declined sharply last week with insiders buying $56.48 million of stock compared to $165.25 million in the week prior. Selling also decreased with insiders selling $393.38 million of stock last week compared to $653.17 million in the week prior.

Sell/Buy Ratio: The insider Sell/Buy ratio is calculated by dividing the total insider sales in a given week by total insider purchases that week. The adjusted ratio for last week went up to 6.96. In other words, insiders sold  almost 7 times as much stock as they purchased. The Sell/Buy ratio this week compares unfavorably with the prior week, when the ratio stood at 3.95. We are calculating an adjusted ratio by removing transactions by funds and companies and trying as best as possible only to retain information about insiders and 10% owners who are not funds or companies.

Note: As mentioned in the first post in this series, certain industries have their preferred metrics such as same store sales for retailers, funds from operations (FFO) for REITs and revenue per available room (RevPAR) for hotels that provide a better basis for comparison than simple valuation metrics. However metrics like Price/Earnings, Price/Sales and Enterprise Value/EBITDA included below should provide a good starting point for analyzing the majority of stocks.

Director Mallika Srinivasan acquired 491,557 shares of this farm & construction machinery company, paying $44.13 per share for a total amount of $21.73 million. These shares were purchased indirectly by Chennai, India based TAFE Motors and Tractors Limited.

10% owner Bruce R. Berkowitz acquired 491,557 shares of this department stores chain, paying $44.13 per share for a total amount of $21.73 million.

We normally don’t include purchases by 10% owners or funds but decided to make an exception in this case to highlight Bruce Berkowitz’s continued purchases of Sears. They remind me of Francis Chou’s purchases of Overstock.com (OSTK) back in 2011-2012 when the numbers didn’t look particularly attractive. 5. LiveDeal, Inc. (LIVE): $2.96

CEO, CFO and President Jon Isaac acquired 100,000 shares of this internet information provider, paying $3.06 per share for a total amount of $305,875. Mr. Isaac increased his stake by 1.22% to 8,303,245 shares with this purchase.

If there ever was a case of a CEO buying shares to signal the market, this is it. The company issued a press release last week indicating Mr. Isaac was going to buy 250,000 shares of the company and the stock opened nearly 18% higher the following day only to settle lower by the end of the day. The stock again spiked when the actual form 4 was filed only to once again settle lower. The company then issued another press release to indicate Mr. Isaac had purchased 100,000 shares.

Looking at the numbers, it is hard to fathom why Mr. Isaac is buying shares.
